End-User License Agreement (EULA)
Application: ERPNext for QuickBooks
1. Acceptance of Agreement
By installing, accessing, or using the ERPNext for QuickBooks application (“the Application”), you (“the User”) agree to be bound by the terms of this End-User License Agreement (“EULA”). If you do not agree to these terms, do not install or use the Application.
2. License Grant
The Application is licensed, not sold.
- The User is granted a limited, non-exclusive, non-transferable, and revocable license to install and use the Application solely for the purpose of integrating their ERPNext system with QuickBooks Online.
- Redistribution, sublicensing, selling, renting, or transferring the Application without prior written consent from the developer is strictly prohibited.
3. Intellectual Property
All intellectual property rights in the Application, including but not limited to code, documentation, logos, and trademarks, are owned by the developer or its licensors. This EULA does not grant the User any ownership rights to the Application, only the limited license to use it as specified herein.
4. Use of QuickBooks and ERPNext
- The User acknowledges that the Application relies on third-party services (QuickBooks Online by Intuit Inc. and ERPNext).
- The User is solely responsible for maintaining valid licenses and permissions to use these third-party services.
- The developer shall not be held liable for any changes, interruptions, or limitations in the QuickBooks or ERPNext APIs that may affect the functionality of the Application.
5. Restrictions
The User shall not:
- Reverse engineer, decompile, or disassemble the Application.
- Modify, alter, or create derivative works based on the Application.
- Use the Application for unlawful purposes or in violation of any applicable laws or regulations.
6. Data and Privacy
- The Application may process or transmit data between ERPNext and QuickBooks Online.
- The User is responsible for ensuring compliance with all applicable data protection and privacy regulations when using the Application.
- The developer does not store financial data unless explicitly stated in accompanying documentation.
7. Disclaimer of Warranties
The Application is provided “as is” and “as available”, without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, the developer shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Application, including but not limited to data loss, business interruption, or financial losses.
9. Termination
This EULA is effective until terminated. The developer may revoke the license at any time if the User fails to comply with its terms. Upon termination, the User must stop using the Application and uninstall it.
